Six Flags Entertainment Corp. and Cedar Fair have entered into a definitive merger agreement.

Four million fewer guests visited Six Flags parks in the recently completed third quarter than during the same period a year ago. Over the first nine months of this year, the company’s turnstile count is down by 5.5 million customers.

Cedar Fair LP, the Ohio-based owner of several amusement properties including Schlitterbahn water parks in New Braunfels and Galveston, has turned down a multibillion-dollar buyout offer submitted by SeaWorld Entertainment Inc.

The Hill Country city is home to one of two Schlitterbahn water parks that are part of the Cedar Fair portfolio.

The offer is more than $3 billion, according to a Bloomberg report.
